Terms and Conditions for Collaboration Plus Program
  1. These terms and conditions (“Collaboration Plus Program Terms”) apply to the Collaboration Plus Program available on the marketplace accessible via "TikTok" application (“Shop”), offered by PT Tokopedia (“we”, “our”, “us”).
  2. These Collaboration Plus Program Terms are subject to, and incorporate by reference, the Shop Seller Terms of Services, and any applicable Shop policies and guidelines as updated or amended from time to time (collectively, “Online Terms”).
  3. The Collaboration Plus Program enables selected Shop sellers (“Eligible Sellers”, “you”, “your”) to:
    1. offer time-limited commissions to Shop e-commerce creators (“Shop Creators”) to promote your products through their Creator Services provided to you as defined in Section 7 of the Shop Seller Terms of Service; and
    2. engage us to increase your product exposure for Shop Creators and facilitate the matchmaking of collaboration between you and Shop Creators, for which we will charge you certain service fees (see more in Articles 5 and 6 below).
  4. You can select eligible products, set time-limited commissions to Shop Creators for their Creator Services and the specific time period (“Validity Period”) through the designated Shop affiliate program interface (“Affiliate Center”).
  5. You can also select your preferred types of promotional activities for us to host for Shop Creators during the Validity Period and target objectives through the Affiliate Center. You must also pay us in advance the corresponding service fees for achieving your set objectives (“Service Fees”) as shown in the program interface.
  6. The actual service fees payable will be based on your product exposure and Shop Creators' performance, and you may refer to the applicable rules and details in the Affiliate Center when you set the objectives. If the objectives you set are not fully achieved, we will reverse to you the excess Service Fees charged (if any), which may take around 7 days to process after the Validity Period ends. The amount of excess Service Fees will be calculated and determined by us based on our internal assessment, and such determination shall be final and conclusive.
  7. Payments to us under this Program or any part thereof shall be inclusive of applicable taxes.
  8. You acknowledge that we retain the full and sole discretion to determine the ways to increase your product exposure, promotional activities for Shop Creators, eligibility criteria and objectives set for them, and rewards or incentives we may extend to them.
  9. You acknowledge and accept that any Creator Services in exchange for the time-limited commission you set under 3(a) above are provided to you by Shop Creators, but not by Tokopedia.
  10. You acknowledge that Tokopedia has no control over the specific marketing methods or promotional activities actually undertaken by the Shop Creators. Accordingly, Tokopedia makes no representations or warranties of any kind, whether express, implied, statutory or otherwise, with respect to any Shop Creators or any Creator Services. Tokopedia shall not be responsible or liable for any loss or damage you suffer resulting from the Creator Services. In the event that any limitation of liability under these Collaboration Plus Program Terms is found to be unenforceable under applicable law, you agree that Tokopedia's aggregate cumulative liability shall in no circumstance exceed the total Service Fees paid by you to Tokopedia pursuant to these Collaboration Plus Program Terms in connection with the specific matter giving rise to such liability.
  11. You represent and warrant that the advertising materials provided by you ("Advertising Materials") for promotional activities of the Shop Creators will comply with all applicable laws and policies. You will remain solely liable and hold Tokopedia and Shop Creators harmless for such Advertising Materials. You will ensure that such Advertising Materials do not include any misrepresentations, misleading or deceptive advertising about its products or services, any content that is unlawful or that infringes or violates the rights of any person.
  12. Tokopedia reserves the right, at its sole and absolute discretion, to modify, suspend, terminate or cancel the Collaboration Plus Program as it deems fit.
  13. These Collaboration Plus Program Terms wholly incorporate and are subject to Tokopedia's governing law and jurisdiction terms in the Shop Seller Terms of Services.
  14. You must comply with the Online Terms (including these Collaboration Plus Program Terms) to stay eligible for this Program. In the event of a dispute or complaint, it will be processed and resolved according to the dispute resolution and complaint-handling process terms in the Shop Seller Terms of Services.
  15. These Collaboration Plus Program Terms are made in Indonesian language and English versions. In the event of any dispute or different interpretation between the Indonesian language and English versions, the Indonesian language version shall prevail.
